1. Agreement to Terms

These Publisher Terms of Service (“Terms”) constitute a legally binding agreement between you (“Publisher,” “you,” or “your”) and AdFreePro by Transfon Ltd (“AdFreePro,” “we,” “us,” or “our”) governing your access to and use of the AdFreePro publisher platform and related services. By accessing or using the platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Publisher Services

AdFreePro provides technology that enables publishers to offer ad-free access to their content through paid subscriptions. Our services include user authentication, subscription management, and payment facilitation. AdFreePro does not own, control, or endorse publisher content.

3. Integration and Implementation

You agree to implement AdFreePro’s code snippets, APIs, and integration tools strictly in accordance with our technical documentation. You are solely responsible for ensuring that the integration does not interfere with your website's performance, security, or compliance obligations.

4. Revenue Share and Payments

Revenue Share. AdFreePro will pay you a percentage of the Net Revenue generated from subscriptions attributable to your content, as set forth in your applicable partnership or commercial agreement.

Net Revenue. "Net Revenue" excludes refunds, chargebacks, reversals, transaction fees, taxes, payment processor fees, and similar deductions.

Payment Terms. Payments are made on a monthly basis, subject to a minimum payout threshold. You are responsible for providing accurate payment and tax information. AdFreePro is not responsible for delays caused by incorrect or incomplete information.

5. Content Guidelines

You represent and warrant that your content complies with all applicable laws and regulations and does not infringe any third-party rights. Prohibited content includes, but is not limited to, illegal material, hate speech, deceptive practices, or content that violates payment processor rules. AdFreePro reserves the right to suspend or terminate access for violations.

6. Term and Termination

This Agreement begins on the date you first access or integrate the AdFreePro platform and continues until terminated.

Either party may terminate this Agreement for any reason by providing at least thirty (30) days' prior written notice to the other party.

AdFreePro may terminate this Agreement immediately if you materially breach these Terms, engage in fraud, violate content guidelines, or participate in unlawful activity.

Upon termination, you must remove all AdFreePro code and integrations from your website(s). Any undisputed outstanding amounts will be settled in the next billing cycle, subject to deductions for refunds, chargebacks, and fees. Provisions which by their nature should survive termination shall survive.

7. Refunds, Chargebacks, and User Disputes

You acknowledge and agree that you are responsible for handling and resolving all user refund requests, complaints, disputes, and chargebacks related to subscriptions attributable to your content.

AdFreePro acts as a technology and payment facilitation provider and assumes no responsibility for the quality, accuracy, or availability of your content. Any refunds, reversals, or chargebacks—including associated processing fees—may be deducted from your current or future payouts.

Excessive refunds or chargebacks may result in suspension or termination of your publisher account.
